Designed for busy practitioners, Principles of Contractual Interpretation provides a clear and authoritative overview of this complex area of commercial law. The authors simplify the rules governing contract construction and interpretation into ten key principles, each discussed in a dedicated chapter and supported by case law demonstrating their practical application.
Now in its third edition, the book has been extensively updated to incorporate eight years of developments in case law, including significant decisions such as Wells v Devani, Tesco v USDAW, Barton v Morris, Tinkler v HMRC, and FSHC Group Holdings Ltd v Glas Trust Corporation Ltd. It also introduces new discussions on the enforceability of implied terms, the limits of rectification, purposive interpretation, and the significance of good faith and entire agreement clauses.
With its expanded scope and refreshed analysis, this edition continues to be an essential reference for lawyers, judges, and anyone engaged in drafting or litigating commercial contracts.
