This book seeks to set out the law and practice of corporate finance in Singapore for both business professionals and legal practitioners. Originating from course materials developed at the NUS Law School by two of the co-authors of the first edition, it introduces readers to the fundamental forms of corporate finance, the relevant sources of law, and the development of Singapore’s regulatory framework, with reference to major market events such as the 2008 global financial crisis. The book explains core finance concepts and financial theory, provides updates on key legislation governing the capital markets, examines the legal framework for private and public offerings, outlines the principal documentation used in capital-raising exercises, and discusses the main types of financial crime.
