Trade plays a fundamental role in Singapore’s economy, with the sale of goods representing a significant component of commercial activity. In Singapore, contracts involving the sale and purchase of goods are primarily governed by one of two legal frameworks. Domestic transactions and consumer sales generally fall under the Sale of Goods Act (“SOGA”). In contrast, international sales between commercial parties are, subject to certain exceptions, governed by the United Nations Convention on Contracts for the International Sale of Goods (“CISG”), provided that both parties are based in countries that are parties to the Convention. Singapore became a party to the CISG in 1996, and its provisions have since been incorporated into Singapore’s domestic law.
This volume serves as a practical and accessible guide to the law relating to the sale of goods, with particular emphasis on how statutory provisions under SOGA and the CISG differ from the principles of common law. Given the significant distinctions between SOGA and the CISG, the book also seeks to assist lawyers and their clients in determining whether it would be appropriate to exclude the application of the CISG and instead rely on SOGA or the domestic sales legislation of another jurisdiction.
The book further examines several areas in which the CISG differs substantially from SOGA and common law principles. These include the treatment of parol evidence, the relevance and application of foreign judicial precedents, and the significance of the principle of good faith in contractual relationships.
About the Author:
Howard Hunter is a Professor of Law at the Singapore Management University School of Law, where he served as President from 2004 to 2010. He also holds the position of Professor of Law Emeritus and previously served as Dean of the Emory University School of Law in the United States. In addition, he has been a recurrent Visiting Professor of Law at the Central European University in Budapest.
Professor Hunter is the author of Modern Law of Contracts, a two-volume scholarly work examining the common law of contracts, as well as numerous professional articles and monographs covering commercial law and related areas. He has served on the editorial board of the Journal of Contract Law and is a member of the Board of the American Arbitration Association. He is also a Life Member of the American Law Institute and a non-practising member of the Law Society of Singapore. He has been admitted as a member of the State Bar of Georgia since 1971.
Professor Hunter obtained both his Bachelor of Arts and Juris Doctor degrees from Yale University in the United States.
In recognition of his academic contributions, Professor Pinsler was awarded a Doctor of Laws (LLD) degree in 2004. He was appointed Senior Counsel in 2008 and also serves as a Senior Professorial Fellow of the Singapore Institute of Legal Education.
Professor Pinsler is widely recognised as a leading authority in the areas of evidence, civil procedure, and legal ethics. As an author and/or general editor, he has produced 16 major works as well as numerous scholarly articles. Many of his publications are regarded as important reference materials by legal practitioners and are frequently cited and relied upon by the courts.
