  • Reviews preliminary participation arrangements, including confidentiality, areas of mutual interest, joint studies, joint bidding, joint wells, and data trading and sharing, alongside the enforceability of reasonable and best endeavours obligations.

  • Analyses model joint operating agreements, their provisions, accounting procedures and trust deeds.

  • Examines contracts for drilling, procurement and services.

  • Explains unitisation, pooling and other joint development arrangements, including pre-unit agreements, the relationship between unitisation and unit operating agreements (UUOAs) and joint operating agreements (JOAs), petroleum lifting, commingling, balancing, title interests, and allocation and attribution/substitution agreements.

  • Discusses petroleum management, processing and operational services contracts, third-party infrastructure access, gas liquefaction and LNG regasification project structures, and terminal access and services.

  • Provides detailed analysis of the terms used in oil, gas and LNG sales contracts.

  • Reviews shipping arrangements, including vessel leasing, time and voyage charter parties, contracts of affreightment and bills of lading.

  • Examines pipeline transportation from both transporter and shipper perspectives, covering system rules, links between sales and transportation contracts, cross-border investment protection, crossing, proximity and tie-in agreements, and capacity management.

  • Covers the sale, purchase and exchange of petroleum interests, farm-out and earn-out arrangements, pre-emption rights, due diligence, representations and warranties.

  • Addresses decommissioning obligations and related security arrangements.

  • Includes contractual provisions for constructing petroleum infrastructure.
