“Good practitioner texts perform an indispensable service: they assist judges in deciding, practitioners in advising and advocating, and academics and students in understanding. … This work is a distinguished contribution of precisely that kind. It offers a comprehensive examination of shareholders’ remedies under Malaysian law.”

From the Foreword by

Tan Sri Datuk Nallini Pathmanathan

Retired Judge of the Federal Court of Malaysia

Modern companies are founded on two fundamental principles: the separation of ownership from day-to-day management and the application of majority rule. Although shareholders entrust the management of the company to the board of directors, this structure may expose minority shareholders to unfair treatment, oppression, or misuse of corporate power. Shareholders’ remedies therefore play an important role in maintaining this balance by protecting legitimate shareholder interests while respecting the authority of the board and management. Effective minority protection ultimately promotes corporate accountability, commercial certainty, and investor confidence.

Lee & Lee’s Shareholders’ Remedies in Malaysia provides a comprehensive and practical examination of shareholders’ remedies under Malaysian law. The book focuses specifically on the principal statutory remedies available to shareholders, supported by Malaysian case law, developing jurisprudence, and relevant Commonwealth authorities.

Drawing on the authors’ practical experience in resolving shareholder disputes, the book combines detailed legal analysis with practical guidance on the procedural and strategic issues that may determine which remedy should be pursued and how it should be conducted.

The book examines the legal framework governing shareholders’ rights under Malaysian company law, including the conduct of members’ meetings and resolutions, as well as the procedures relating to the removal and suspension of directors. It also provides detailed coverage of key corporate litigation remedies, including the oppression remedy for shareholders who have suffered unfair prejudice, statutory derivative actions for wrongs committed against the company, and just and equitable winding up as a final form of relief.

In addition, the book considers preventative and alternative methods of resolving shareholder disputes, including statutory injunctions and the developing law concerning the arbitrability of company law disputes.

By bringing together the Companies Act 2016, Malaysian case law, and relevant Commonwealth authorities, the book offers both authoritative legal analysis and practical litigation insight. Its strategic discussion reflects the hands-on experience of the authors as corporate practitioners, making it a useful reference for litigation practitioners, corporate lawyers, company secretaries, in-house counsel, insolvency practitioners, judges, arbitrators, academics, and law students.
